Nancy McDonald is the Founder and Managing Member of the firm. She has almost 20 years of experience as a general corporate and transactional attorney. For 12 of those years, she divided her time between being a partner in private law firms and serving as in-house general counsel to a substantial, closely-held international manufacturing company. As a result of her in-house work, Ms. McDonald gained a thorough understanding of business operations and developed a keen business sense, all of which she puts to use to assist her business clients.
Ms. McDonald has broad experience in corporate and commercial transactions, including acquisitions and divestitures, joint ventures and strategic alliances, private placement of securities, secured lending transactions, and subordinated debt and equity financings. In addition to her transactional work, Ms. McDonald has extensive experience in negotiating and drafting all types of business agreements, including shareholder agreements, operating agreements, license and supply agreements, sales representative and distribution agreements, non-disclosure and other agreements for the protection of trade secrets, executive employment and compensation agreements and incentive compensation plans and agreements. Ms. McDonald has represented franchisees around the country in the purchase and sale of various types of franchises as well as in franchise disputes. Ms. McDonald has counseled her manufacturing clients on product recalls, implementation of safety programs, protection of trade secrets, purchase and supply arrangements, limited warranties, terms and conditions of purchase and sale and other issues associated with manufacturing operations, and has conducted internal audits and investigations.
With the formation of MLG, Ms. McDonald has combined her passion for the practice of law with her passion for helping other women and devotes a substantial amount of her time to providing legal services to women in need of her help on a pro bono basis.
